General Terms and Conditions
Please read these Official Terms and Conditions (“Terms”) carefully before participating in RISION Social Media Activity (the “Activity”), which may include contest, selection, giveaway, sweepstake or other similar social media program or activity that may be held by RISION from time to time. By participating in the Activity, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
If you do not agree to these Terms, please do not participate in the Activity.
1.1 The the “Activity” is organized by CHEERSAIL TECHNOLOGY SHARES CO., LIMITED or its affiliates(the “Organizer”).
1.2 The specific terms, rules and conditions applicable to each Activity, including eligibility requirements, entry methods, prize details, judging or winner selection procedures, and other applicable requirements(the “Activity Rules”), shall be set forth in the applicable Activity Rules. In the event of any conflict or inconsistency between these General Terms and Conditions and the applicable Activity Rules, the corresponding Activity Rules shall prevail.
1.3 Participation in the Activity is voluntary and free of charge. No purchase or payment is necessary to enter or win.
1.4 By participating in the Activity, each participant (“Participant” or “you”) confirms that they meet all eligibility requirements hereunder and agree to comply with these Terms, the applicable rules of the social media platform through which the Activity is conducted, and all applicable laws and regulations.
1.5 The Organizer reserves the right to disqualify any Participant who does not comply with these Terms or who, in the Organizer’s reasonable discretion, attempts to interfere with the proper operation, fairness, or integrity of the Activity.
2.1 The Activity is organized by:

The Organizer may use its affiliates, contractors, agencies, logistics providers, and other third-party service providers in connection with the administration, promotion, and fulfillment of the Activity.
3.1 The Activity is open to individuals who are 18 years of age or older at the time of entry and who are legally permitted to participate in such activities in their jurisdiction.
3.2 The Activity is void where prohibited or restricted by applicable law.
3.3 Employees, officers, directors, representatives, agents, and immediate family members of the Organizer, its affiliates, advertising or marketing agencies, service providers, and other persons directly involved in the development, administration, or operation of the Activity are not eligible to participate.
3.4 Participation from any country, territory, jurisdiction, or region outside the eiligible jurisdiction set forth in Activity Rules or where prohibited by applicable law shall be void. .
3.5 The Organizer may request reasonable information or documentation to verify a Participant’s eligibility. Failure to provide requested information within the specified period may result in disqualification.
4.1 To enter the Activity, Participants must complete the required participation steps specified in the official Activity post or announcement.
4.2 Each Participant is responsible for ensuring that their entry is submitted within the specified Activity period.
4.3 Where the Activity requires participants to submit a work or other content for judging, such work or content must be the Participant’s own original work and must not:
- infringe or violate any copyright, trademark, patent, privacy, publicity, or other third-party rights;
- contain unlawful, defamatory, threatening, abusive, discriminatory, hateful, obscene, sexually explicit, misleading, fraudulent, or otherwise inappropriate material;
- contain content that violates applicable laws or regulations;
- contain malware, malicious code, automated scripts, bots, or other harmful technology; or
- contain content that the Organizer reasonably considers inappropriate, offensive, or inconsistent with the RISION brand.
4.4 The Organizer reserves the right, in its sole and reasonable discretion, to reject, remove, or disqualify any entry that does not comply with these Terms or that the Organizer considers unsuitable for the Activity.
4.5 The Organizer is not responsible for entries that are lost, late, incomplete, illegible, corrupted, incorrectly submitted, misdirected, or otherwise not received for any reason, including technical failures, network failures, platform failures, or other circumstances beyond the Organizer’s reasonable control.
5.1 Each Participant may use only one individual account unless otherwise expressly permitted by the Activity rules.
5.2 The use of bots, scripts, automated entry systems, fake accounts, purchased engagement, engagement farms, vote manipulation, or any other artificial or deceptive method to participate or increase the likelihood of winning is strictly prohibited.
5.3 Entries submitted through agents, third parties, automated systems, or other unauthorized methods may be disqualified.
5.4 The Organizer reserves the right to investigate suspected fraud, manipulation, abuse, or violations of these Terms.
5.5 If the Organizer determines, in its reasonable discretion, that a Participant has engaged in fraud, manipulation, cheating, abuse, or other prohibited conduct, the Organizer may:
- disqualify the Participant;
- remove or disregard the relevant entry;
- cancel or revoke any Prize already awarded;
- refuse to provide or ship a Prize; and/or
- prohibit the Participant from participating in future RISION promotions.
5.6 If a Prize has already been delivered and is subsequently determined to have been obtained through fraud, manipulation, or violation of these Terms, the Organizer reserves the right to request the return of the Prize or its reasonable equivalent to the extent permitted by applicable law.
5.7 The Organizer’s determination regarding eligibility, compliance, and suspected fraudulent activity shall be final, subject to applicable law.
6.1 Winner(s) will be selected according to the method specified in the official Activity announcement.
6.2 If the Activity involves judging, entries will be evaluated based on the judging criteria stated in the Activity announcement.
6.3 If the Activity involves random selection, the winner(s) will be selected at random from all eligible entries received during the Activity period.
6.4 The odds of winning depend on the number of eligible entries received.
6.5 Being selected as a potential winner does not automatically guarantee receipt of a Prize. All potential winners are subject to eligibility and compliance verification by the Organizer.
6.6 The Organizer may select an alternate winner if a selected winner:
- cannot be contacted;
- fails to respond within the required period;
- fails to provide the requested information;
- is found to be ineligible;
- fails to comply with these Terms; or
- declines or is unable to accept the Prize.
7.1 Potential winners will be notified through the social media account used to participate. Where a participant has provided contact information, participant will be contacted using such contact information. .
7.2 A potential winner must respond within 10 business days after notification, unless a different period is specified in the notification.
7.3 The Organizer may request information reasonably necessary for identity verification, eligibility verification, prize fulfillment, customs clearance, or compliance with applicable tax laws.
7.4 If a potential winner fails to respond within the specified period, provides inaccurate or incomplete information, refuses to provide legally required information, or otherwise fails to satisfy the Prize claim requirements, the Organizer may deem the Prize forfeited and select an alternate winner.
7.5 The Organizer is not responsible for any failure to contact a potential winner due to incorrect, incomplete, outdated, or inaccessible contact information provided by the Participant. Any winners who have inquiries regarding their Prize fulfillment must contact RISION within one (1) month after the announcement of winners. Otherwise, any outstanding Prize will be forfeited after the expiry of time.
8.1 The Prize(s) are as described in the official Activity announcement and Activity Rules.
8.2 Each Participant is eligible to receive no more than one Prize in connection with the Activity unless otherwise expressly stated by the Organizer.
8.3 Prizes are non-transferable and may not be exchanged for cash or other products, except at the Organizer’s sole discretion or where required by applicable law.
8.4 The Organizer reserves the right to substitute a Prize with another prize of equal or greater approximate retail value if the advertised Prize becomes unavailable, discontinued, restricted, or cannot reasonably be provided for reasons beyond the Organizer’s reasonable control.
8.5 The Organizer does not guarantee that a Prize will be available on a specific date or within a specific delivery period.
8.6 The Organizer will arrange standard shipping of the Prize to the eligible winner. Any additional costs arising from the winner’s failure to provide accurate information, failure to complete customs procedures, refusal to accept delivery, address changes, or other circumstances attributable to the winner may be the responsibility of the winner.
9.1 ALL TAXES, DUTIES, FEES, LEVIES, CHARGES, AND REPORTING OBLIGATIONS ARISING FROM OR RELATED TO THE RECEIPT, OWNERSHIP, IMPORTATION, OR USE OF THE PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
9.2 The Organizer does not provide any tax, legal, or financial advice to Participants or winners. Winners are solely responsible for determining and complying with any applicable tax reporting, payment, declaration, registration, or other legal obligations arising from the Prize.
9.3 Where applicable law requires the Organizer to withhold, deduct, report, or collect any tax or other amount in connection with the Prize, the Organizer reserves the right to do so as required by law.
9.4 The Organizer will not increase, gross up, reimburse, or otherwise compensate a winner for any tax, duty, levy, customs charge, import fee, or other governmental charge associated with the Prize, unless expressly required by applicable law.
9.5 Any customs duties, import taxes, VAT, GST, local taxes, clearance fees, brokerage fees, or similar charges imposed by the winner’s country or jurisdiction shall be the sole responsibility of the winner, unless otherwise expressly stated in the Activity announcement.
9.6 Where the Organizer is legally required to obtain tax identification or other information from a winner, the winner must provide such information within the period specified by the Organizer. Failure to provide legally required information may result in forfeiture of the Prize to the extent permitted by applicable law.
10.1 The Organizer will make reasonable efforts to arrange delivery of the Prize to the winner’s provided address.
10.2 The Organizer is not responsible for delays, loss, damage, failed delivery, customs delays, customs rejection, address errors, or other delivery issues caused by circumstances outside the Organizer’s reasonable control or by the winner’s actions or omissions.
10.3 The winner is responsible for providing a complete and accurate delivery address and for cooperating with the applicable carrier and customs authorities when necessary.
10.4 If a Prize cannot be delivered because the winner provided incorrect or incomplete information, failed to complete required customs procedures, refused delivery, or otherwise failed to cooperate, the Organizer may deem the Prize forfeited without further obligation to the winner.
10.5 Upon receiving the Prize, the winner should inspect the package and Prize within a reasonable period and promptly notify the Organizer of any material damage or defect attributable to delivery.
10.6 Except to the extent caused by the Organizer’s willful misconduct or gross negligence, and to the extent permitted by applicable law, the Organizer shall not be responsible for any loss, damage, injury, or other claim arising from the acceptance, possession, or use or misuse of the Prize.
10.7 Any manufacturer’s warranty applicable to the Prize, if any, shall be subject to the manufacturer’s applicable warranty terms.
11.1 If a Participant submits, posts, uploads, or otherwise provides any photograph, video, text, review, comment, design, idea, suggestion, or other content in connection with the Activity (“Submission”), the Participant represents and warrants that:
- they own or otherwise have all necessary rights to the Submission;
- the Submission does not infringe any third-party rights; and
- they have obtained all necessary permissions and consents from any individuals appearing in the Submission.
11.2 By submitting a Submission, the Participant grants the Organizer a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license, to the extent permitted by applicable law, to use, reproduce, modify, edit, adapt, publish, distribute, display, perform, translate, and otherwise exploit the Submission, in whole or in part, for the Organizer’s marketing, advertising, promotional, social media, public relations, product development, and other legitimate business purposes.
11.3 The Organizer may use the Participant’s social media username, name, image, likeness, voice, and Submission in connection with the Activity and related promotional activities, subject to applicable law.
11.4 The Organizer is not required to obtain additional approval from, or provide additional compensation to, a Participant for such use.
11.5 The Organizer reserves the right, but not the obligation, to edit or adapt a Submission for formatting, length, clarity, brand consistency, or other reasonable purposes, provided that such use is permitted by applicable law.
12.1 The Organizer may collect and process personal information reasonably necessary to administer the Activity, verify eligibility, contact winners, fulfill and deliver Prizes, comply with applicable legal obligations, and prevent fraud and abuse.
12.2 Such information may include, where necessary and permitted by applicable law, the Participant’s name, email address, telephone number, shipping address, postal code, social media username, and information required for customs or tax compliance.
12.3 The Organizer will process personal information in accordance with applicable data protection and privacy laws and the Organizer’s applicable Privacy Policy.
12.4 Participants should not provide unnecessary sensitive personal information in public comments or social media posts.
12.5 Where tax identification or other sensitive information is legally required for Prize fulfillment or tax compliance, the Organizer will request such information through an appropriate private communication channel rather than through public social media comments.
13.1 To the maximum extent permitted by applicable law, the Organizer, its affiliates, officers, directors, employees, agents, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to participation in the Activity or the acceptance, possession, or use or misuse of any Prize.
13.2 The Organizer shall not be responsible for any failure, delay, interruption, or inability to conduct the Activity or award a Prize caused by circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, war, civil unrest, governmental actions, transportation disruptions, telecommunications failures, internet failures, cyber incidents, social media platform failures, technical failures, or other force majeure events.
13.3 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
14.1 To the extent permitted by applicable law, each Participant agrees to indemnify and hold harmless the Organizer, its affiliates, officers, directors, employees, agents, and service providers from and against claims, losses, damages, liabilities, costs, and reasonable expenses arising out of or relating to:
- the Participant’s breach of these Terms;
- the Participant’s violation of applicable law;
- the Participant’s Submission;
- any allegation that the Submission infringes or violates a third party’s rights; or
- the Participant’s misuse of the Prize.
15.1 The Organizer reserves the right to modify, clarify, supplement, suspend, postpone, or cancel the Activity, or amend these Terms, where reasonably necessary due to circumstances beyond the Organizer’s reasonable control, technical issues, security concerns, fraud, abuse, legal requirements, platform restrictions, or other circumstances that may affect the fairness, integrity, or proper operation of the Activity.
15.2 Where reasonably practicable, the Organizer will provide notice of material changes through the official Activity channel.
15.3 The Organizer will endeavor to minimize any adverse impact on eligible Participants when making such changes.
16.1 This Activity is not sponsored, endorsed, administered by, or associated with Facebook, Instagram, TikTok, X, YouTube, or any other social media platform on which the Activity may be promoted or conducted, unless expressly stated otherwise.
16.2 Participants understand that they are providing their information to the Organizer and not to the relevant social media platform for purposes of administering the Activity.
16.3 Participants agree to comply with the applicable terms, policies, and community standards of the social media platform through which they participate.
17.1 Any dispute, controversy, difference, or claim arising out of or relating to this Activity or these Terms, including any dispute concerning their existence, validity, interpretation, performance, breach, or termination, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
17.2 Any such dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time the Notice of Arbitration is submitted.
17.3 The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English. The arbitral award shall be final and binding upon the parties, subject to applicable law.
17.4 Nothing in these Terms shall affect any mandatory rights or remedies available to consumers under applicable consumer protection laws. Any dispute arising out of or in connection with the Activity may be brought before the courts having jurisdiction under applicable law.
18.1 If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or competent authority, that provision shall be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
19.1 Subject to applicable law, the Organizer reserves the right to make the final determination regarding matters relating to the administration of the Activity, including eligibility, entry validity, compliance with these Terms, winner verification, disqualification, and Prize fulfillment.
19.2 The Organizer’s decisions shall be final and binding to the extent permitted by applicable law.
